1. Introduction
These Terms and Conditions ("Terms") govern your use of the services provided by TechNitez ("Company," "we," "us," or "our"), located in Berkeley, California. By engaging our services, you ("Client," "you," or "your") agree to these Terms in full. If you do not agree with any part of these Terms, please do not use our services.
2. Services Provided
TechNitez offers a range of IT services including, but not limited to:
- Desktop and laptop hardware upgrade/replacement
- Software troubleshooting and installation
- Workstation setup
- Network setup
- Security system installation, replacement, and configuration
- IT consulting
3. Eligibility
Our services are available to individuals, small businesses, and non-profit organizations located in Alameda County, California. By engaging our services, you represent that you have the legal authority to enter into these Terms.
4. Client Responsibilities
As a Client, you agree to:
- Provide accurate and complete information necessary for us to perform the services.
- Ensure that your devices and systems are in a condition conducive to the services provided.
- Follow any instructions provided by TechNitez regarding the operation and maintenance of your IT systems.
5. Payment Terms
- Fees for services will be quoted prior to engagement. Payments are due upon completion of the services unless otherwise agreed upon in writing.
- Accepted payment methods include cash, credit/debit cards, and other electronic payment methods as specified by TechNitez.
- Late payments may incur a fee of 1.5% per month.
6. Cancellation and Rescheduling
- Clients may cancel or reschedule appointments with a minimum of 24 hours notice. Failure to provide adequate notice may result in a cancellation fee of 25%.
- TechNitez reserves the right to cancel or reschedule services with reasonable notice.
7. Warranty and Disclaimer
- TechNitez warrants that services will be performed in a professional manner consistent with industry standards.
- No other warranties, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose, are made.
- TechNitez is not responsible for any loss of data, loss of business, or any other indirect, incidental, or consequential damages arising from the use of our services.
8. Limitation of Liability
In no event shall TechNitez's liability exceed the total amount paid by the Client for the services rendered. This limitation applies to all claims, regardless of the legal theory on which they are based.
9. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the services. This obligation shall survive the termination of these Terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
11. Dispute Resolution
- Any disputes arising from or related to these Terms shall be resolved through informal negotiation. If the dispute cannot be resolved amicably, the parties agree to submit to binding arbitration in Alameda County, California, in accordance with the rules of the American Arbitration Association.
- Each party shall bear its own costs and attorney's fees in connection with the arbitration.
12. Changes to Terms
TechNitez reserves the right to modify these Terms at any time. Clients will be notified of any changes via email or through a notice on our website. Continued use of our services after any changes constitutes acceptance of the new Terms.
